1. Acceptance of Terms

These Terms of Use (the “Terms”) constitute a legal agreement between you (“you” or the “User”) and Solutions Plex (“Solutions Plex”, “we”, “us”, or “our”) and govern your access to and use of the Solutions Plex platform, including the website, mobile applications, and any related services (collectively, the “Service”).

By accessing the Service, creating an account, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service.

2. Description of the Service

Solutions Plex is a software-as-a-service (SaaS) platform designed to help property owners and managers organize the management of rental properties, communications, documents, and administrative tasks.

Solutions Plex is a technology provider only. It does not act as:

  • a real estate agent or broker;
  • a legal, tax, or professional advisor;
  • a financial institution; nor
  • a representative of a landlord, tenant, or third party.

3. Eligibility and Account Responsibilities

You must have the legal capacity to enter into a binding agreement to use the Service.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities under your account;
  • the accuracy and legality of the information you provide or upload.

4. Core, Optional, and Evolving Features

The Service includes core features and may also include optional, automated, AI-assisted, monetized, or evolving features (the “Optional Features”), including:

  • notices and communications that may have legal implications;
  • tenant screening/analysis services;
  • automated or AI-assisted analyses;
  • document templates and generation tools;
  • messaging, community, and collaboration tools;
  • discovery of contractors, products, or third-party services;
  • sponsored content, partnerships, promotions, or discounts.

Optional Features may be modified, limited, monetized, suspended, or removed at any time. Some may be subject to additional terms, conditions, or fees presented at the time of activation or use.

5. Role and Responsibilities of Users

Users remain solely responsible for:

  • rental decisions and tenant selection;
  • communications with tenants, contractors, or other users;
  • compliance with applicable laws, including housing laws, privacy laws, consumer protection laws, and human rights laws.

Solutions Plex does not supervise, approve, or validate user decisions.

6. Tenant Screening and AI-Assisted Analysis

6.1 Nature of the Service

Solutions Plex may offer tenant screening/analysis services (the “Analysis Services”) as an Optional Feature.

These services are provided for informational purposes only and do not constitute legal, professional advice, or a recommendation to accept or reject a candidate.

6.2 Automated Processing and AI

Analysis Services may rely, in whole or in part, on:

  • automated systems;
  • artificial intelligence tools;
  • manual review by Solutions Plex personnel; and/or
  • independent contractors or service providers.

The results, summaries, indicators, or signals may contain errors, omissions, or biases. They do not guarantee accuracy or completeness and must be independently evaluated by the user.

Solutions Plex does not make rental decisions and assumes no responsibility for outcomes resulting from the use of Analysis Services.

6.3 Consent and Compliance

Users remain solely responsible for obtaining all required consent from tenant applicants and ensuring their selection practices comply with applicable laws, including privacy, anti-discrimination, and human rights laws.

7. Notices and Communications with Legal Effect

7.1 Nature of Notice Services

The Service may allow the sending of notices, communications, or documents that may have legal implications (the “Notice Services”), including lease-related notices.

These may include:

  • electronic delivery;
  • timestamps;
  • technical logs related to sending, receipt, or access.
7.2 No Legal Guarantee

Solutions Plex does not provide legal advice and does not guarantee the validity, enforceability, or sufficiency of any notice. It also does not guarantee that electronic delivery will meet all legal requirements in all circumstances.

Users remain solely responsible for determining whether the Notice Services are appropriate and compliant with applicable laws, including requirements of the Tribunal administratif du logement (TAL).

7.3 Evidentiary Limitations

Any logs, confirmations, access history, or reports generated by the Service:

  • reflect technical events recorded by the platform;
  • do not constitute legal proof or certification;
  • may be challenged or interpreted differently by a court or authority.

8. Documents, Templates, and Information

Any templates, documents, or informational content provided through the Service are offered for convenience only.

Solutions Plex does not guarantee that such materials are complete, accurate, or compliant with applicable laws or regulations. Users are responsible for validating any document before use.

9. Community, Messaging, and Monetization

The Service may include community spaces, forums, messaging tools, or other social features.

Solutions Plex may display sponsored content, advertisements, promoted listings, or partnership-related information within these areas.

Such content:

  • is provided for informational or promotional purposes;
  • does not constitute endorsement, recommendation, or verification by Solutions Plex;
  • may be subject to separate terms between the user and the third party.

Solutions Plex is not responsible for opinions, advice, or content shared by users or third parties.

10. Contractors, Marketplace Discovery, and Referrals

Solutions Plex may allow users to discover, share, or access information about third-party contractors, providers, products, or services (the “Third-Party Providers”).

Solutions Plex acts solely as a technology and discovery platform and:

  • does not act as an intermediary, agent, broker, or representative;
  • does not participate in or supervise transactions;
  • does not process payments or collect commissions;
  • does not guarantee pricing, availability, quality, or outcomes.

All agreements or transactions with Third-Party Providers are made directly between the user and the third party, at the user’s sole discretion and responsibility.

Future marketplace or transactional features may be introduced and will be subject to additional terms at that time.

11. Partnerships, Offers, and Discounts

Solutions Plex may provide access to offers, discounts, or benefits from third-party partners.

These offers:

  • are provided for convenience;
  • are subject to the partner’s terms;
  • may be modified or withdrawn without notice.

Solutions Plex does not guarantee eligibility, availability, pricing, or outcomes related to third-party offers.

12. Data, Privacy, and Personal Information Protection

Users retain ownership of their data. Personal information is handled in accordance with applicable laws, including Law 25, and in line with our Privacy Policy.

13. Fees, Subscriptions, and Billing

Certain features may be paid. Fees, billing cycles, and applicable taxes will be disclosed at the time of purchase.

Payments are non-refundable, except where required by law.

14. Suspension and Termination

You may terminate your account using the options available in the Service.

Solutions Plex may suspend or terminate access in cases of misuse, violation of these Terms, or when required by law.

15. Intellectual Property

The Service and all related content, code, design, and elements remain the exclusive property of Solutions Plex. No rights are granted except as expressly provided in these Terms.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Solutions Plex DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED.

17. Limitation of Liability

To the maximum extent permitted by law, Solutions Plex shall not be liable for indirect, incidental, or consequential damages.

Total liability for any claim shall not exceed the amount paid by the user to Solutions Plex during the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify and hold harmless Solutions Plex from any claims arising from your use of the Service or your violation of these Terms.

19. Changes to the Service or Terms

Solutions Plex may modify these Terms or the Service, with reasonable notice where required.

Continued use of the Service after modifications constitutes acceptance of the updated Terms.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Québec.

Any dispute shall be submitted to the courts of the judicial district of Québec City or Montréal, at the discretion of Solutions Plex.

21. Apple and Platform Terms

These Terms are an agreement between you and Solutions Plex, not Apple Inc.

Apple is not responsible for the Service and is a third-party beneficiary of these Terms.
